Welcome to PMN Digital Production. These Terms and Conditions govern your use of our website and services. By visiting our website, requesting a quotation, making a payment, or engaging PMN Digital Production for any project, you acknowledge that you have read and agreed to these terms.

1. About PMN Digital Production

PMN Digital Production provides creative and digital communication services, including:

• Video Editing and Post-Production
• Graphic Design and Branding
• Social Media Management
• Political Media and Campaign Management
• Digital Marketing and Content Strategy
• Other related creative, media and promotional services

The precise scope, timeline, deliverables and cost of each project will be defined in the quotation, proposal, invoice, service agreement or other written communication accepted by the client.

2. Acceptance of Terms

By using our website or engaging our services, you confirm that:

• You are legally capable of entering into an agreement.
• The information supplied by you is accurate and complete.
• You are authorized to act on behalf of the organization, business, political entity or individual represented by you.
• You agree to comply with these Terms and Conditions.

If you do not accept these terms, you should not use our services.

3. Quotations and Project Confirmation

Quotations are valid only for the period mentioned in the quotation. If no validity period is stated, the quotation will remain valid for 15 days from its issue date.

A project will be considered confirmed only after:

• The client approves the quotation or proposal in writing;
• The required advance payment is received; and
• The client supplies the necessary project information and materials.

Prices may change if the client changes the scope, volume, timeline or deliverables after project confirmation.

4. Client Responsibilities

The client must provide all information, content, brand guidelines, photographs, video footage, logos, account access, approvals and other materials required to complete the project.

The client confirms that they own, license or have permission to use every item supplied to PMN Digital Production. The client is responsible for obtaining consent from any person appearing in photographs, recordings or videos.

PMN Digital Production will not be liable for delays caused by missing materials, late feedback, incomplete instructions, access restrictions or delayed approvals from the client.

5. Content Accuracy and Approval

The client is responsible for verifying all names, dates, contact details, statistics, claims, translations, political statements, prices, legal disclosures and other factual information before approving a deliverable.

Once the client provides final approval, PMN Digital Production will not be responsible for errors that were visible in the approved version. Corrections requested after approval may be treated as additional work and charged separately.

6. Payments

The payment schedule will be stated in the applicable quotation, proposal or invoice. Unless otherwise agreed in writing:

• Work may begin only after receipt of the required advance.
• The remaining payment must be made before final files are delivered or published.
• Recurring services must be paid according to the agreed billing cycle.
• Applicable taxes will be charged separately where required.
• Payments already made are non-refundable once work has begun, except where PMN Digital Production agrees otherwise in writing.

The client must pay any additional charges approved for extra work, urgent delivery, third-party services or changes outside the agreed scope.

7. Revisions and Additional Work

The number of revisions included in a project will be specified in the quotation or proposal. A revision means a reasonable modification to an existing approved concept and does not include the creation of a completely new concept.

Additional charges may apply when:

• The included revision limit is exceeded;
• The client requests a change to the approved concept or brief;
• Completed work must be recreated due to new instructions;
• New sizes, formats, languages or platform versions are requested;
• The client requests additional content or deliverables; or
• Urgent or out-of-hours work is required.

8. Project Timelines

Any completion date provided is an estimated timeline unless expressly guaranteed in writing. Timelines depend on timely receipt of content, feedback, payment and approvals from the client.

The delivery date may be extended if:

• The client delays feedback or approvals;
• The project scope changes;
• Required information or access is unavailable;
• A third-party platform experiences an outage or restriction;
• A force majeure event occurs; or
• Circumstances outside our reasonable control affect production.

9. Video Editing and Post-Production

For video projects, the client must provide footage in a usable format and confirm that all footage, music, voice recordings, logos and other materials are legally authorized for use.

Unless specifically included in the quotation, the following may attract additional charges:

• Stock footage, music and premium assets;
• Voice-over recording;
• Subtitles, translations or transcription;
• Complex animation and visual effects;
• Project/source files;
• Additional aspect ratios or platform versions;
• Re-editing after final approval; and
• Recovery or processing of damaged or incompatible footage.

The quality of the final output may depend on the quality of the source material provided by the client.

10. Graphic Design and Branding

Design work will be created according to the agreed brief. The client is responsible for checking spelling, colours, dimensions, contact information and other content before approval or printing.

Printing costs, font licences, stock images, trademark registration and third-party assets are not included unless expressly mentioned in the quotation.

Editable or source files are not automatically included in the final delivery and may be supplied only when agreed in writing.

PMN Digital Production does not guarantee that a proposed brand name, logo or tagline is legally available for trademark registration. The client should obtain independent legal clearance before registration or commercial use.

11. Social Media Management

Social media services may include strategy, content planning, creative production, scheduling, publishing and account management, depending on the agreed package.

The client acknowledges that:

• Platform reach, engagement, followers, leads and sales cannot be guaranteed.
• Social platforms may change their algorithms, policies and features without notice.
• Content publication depends on the client providing timely approvals and account access.
• Advertising expenditure is separate from management fees unless expressly stated.
• PMN Digital Production is not responsible for account suspension, restrictions, hacking or loss caused by platform action, weak credentials or third-party conduct.

The client remains the owner of their social media accounts and is responsible for maintaining secure access credentials.

12. Political Media and Campaign Management

Political media services are provided as creative, communication and campaign-support services. PMN Digital Production does not guarantee election results, public response, media coverage, voter conversion or any specific political outcome.

The client is responsible for ensuring that all political advertisements, claims, declarations, permissions, disclaimers, expenditure records and campaign activities comply with applicable election laws, Election Commission requirements, advertising policies and platform rules.

PMN Digital Production may refuse or discontinue content that:

• Contains knowingly false or misleading claims;
• Promotes hatred, violence or unlawful discrimination;
• Violates election, advertising or platform regulations;
• Infringes privacy or intellectual-property rights; or
• Could expose the agency to unlawful or unreasonable risk.

The client remains solely responsible for the accuracy and legality of political statements approved for publication.

13. Digital Marketing and Content Strategy

Strategies, recommendations and campaigns are based on available information, professional experience and prevailing platform conditions. PMN Digital Production does not guarantee rankings, traffic, enquiries, conversions, revenue, media coverage or any specific business outcome.

Results may be affected by competition, market conditions, budget, website performance, platform algorithms, audience behaviour and the client’s implementation decisions.

Advertising budgets, influencer fees, software subscriptions and other third-party costs are separate unless expressly included.

14. Intellectual Property Rights

The client retains ownership of the original materials supplied by them.

Unless otherwise agreed:

• PMN Digital Production retains ownership of drafts, unused concepts, working files, templates, methods and internal production resources.
• Rights to the approved final deliverables transfer to the client only after full payment is received.
• Third-party assets remain subject to their respective licence terms.
• Fonts, stock media, music, plugins and software cannot be transferred beyond the rights permitted by their providers.

PMN Digital Production may display completed, publicly released work in its portfolio, website, social media and promotional materials unless the client has requested confidentiality in writing before the project begins.

15. Confidentiality

Both parties agree to protect confidential business, campaign, technical and personal information received during the project.

Confidential information will not include information that:

• Is already publicly available;
• Was lawfully known before disclosure;
• Is received legally from another source; or
• Must be disclosed under applicable law or a lawful government order.

If the project requires a separate non-disclosure agreement, it must be signed in writing.

16. Third-Party Platforms and Services

Some services may depend on third-party platforms such as social networks, advertising networks, hosting providers, stock-content libraries, analytics services and communication tools.

PMN Digital Production is not responsible for:

• Platform outages or technical failures;
• Changes in algorithms, policies or pricing;
• Account suspension or content removal by a platform;
• Rejection of advertisements;
• Losses caused by a third-party service; or
• Changes to third-party licences or availability.

Third-party charges will be borne by the client unless otherwise agreed.

17. Cancellation and Termination

The client may cancel a project by giving written notice. The client must pay for all work completed, time spent, resources reserved and third-party costs incurred up to the cancellation date.

PMN Digital Production may suspend or terminate services if:

• Payment remains overdue;
• The client fails to provide required materials or approvals;
• The client requests unlawful, misleading or abusive content;
• The client misuses our work or services; or
• Continuing the project would create a legal, ethical or security risk.

Completed work and advance payments may be retained against outstanding charges.

18. Refund Policy

Because our services involve customized creative work and reserved production time, advance payments are generally non-refundable after work has started.

A refund, if approved, will be calculated after deducting:

• The cost of completed work;
• Time already spent;
• Administrative or transaction charges;
• Purchased third-party assets; and
• Other non-recoverable expenses.

No refund will be provided solely because a campaign, post, advertisement or strategy does not achieve the client’s expected commercial or political result.

19. File Storage

PMN Digital Production may retain project files for a limited period after delivery. We do not guarantee permanent storage of footage, source files, project files or final deliverables.

The client should download and securely back up all delivered files. File recovery or re-delivery after the storage period may not be possible and may involve an additional fee.

20. Limitation of Liability

To the maximum extent permitted by law, PMN Digital Production will not be liable for indirect, incidental, special or consequential loss, including loss of revenue, opportunity, reputation, data, engagement, votes, leads or profits.

Our total liability relating to a particular service will not exceed the amount paid by the client for that service, except where such limitation is prohibited by applicable law.

21. Indemnification

The client agrees to indemnify and hold PMN Digital Production harmless against claims, losses, penalties and expenses arising from:

• Materials or instructions supplied by the client;
• Copyright, trademark, privacy or publicity-right violations;
• False, misleading, defamatory or unlawful claims approved by the client;
• Violation of political, election, advertising or platform rules; or
• The client’s misuse of the final deliverables.

22. Website Use

Website content is provided for general information. Users must not:

• Copy or commercially exploit website content without permission;
• Attempt unauthorized access to the website or its systems;
• Upload malicious code or interfere with website operation;
• Use the website for illegal or fraudulent activity; or
• Misrepresent an association with PMN Digital Production.

We may update, suspend or withdraw any part of the website without prior notice.

23. Privacy

Personal information collected through enquiries, forms, email, telephone or project communication will be handled according to our Privacy Policy and applicable law.

By submitting an enquiry, the user permits PMN Digital Production to contact them regarding the requested services. Marketing communication will be sent only where legally permitted, and recipients may opt out.

24. Force Majeure

Neither party will be liable for delay or failure caused by circumstances beyond reasonable control, including natural disasters, government restrictions, internet failures, strikes, civil disturbance, epidemics, equipment failure or major third-party platform outages.

25. Governing Law and Jurisdiction
